📜 TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using StaffHub.AI or any related applications, APIs, or services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Eligibility & Account Security

  • You must be at least 18 years old and capable of forming a binding contract.

  • Keep your login credentials confidential; you are responsible for all activity under your account.

3. Changes to the Terms

We may update these Terms with 14 days’ notice (via email or dashboard banner). Continued use after the effective date constitutes acceptance.

4. Service Description

IRIS is a voice‑first AI assistant that answers calls, schedules appointments, sends follow‑up messages, and provides conversational business coaching. Outputs are AI‑generated and may occasionally contain inaccuracies—always verify before acting.

5. Fees, Trials & Billing

  • Plan fees, included minutes, and overage rates appear on the Pricing page.

  • Free trials automatically convert to paid subscriptions unless cancelled before the trial ends.

  • All charges are billed monthly in advance in AUD; GST may apply. Unused minutes do not roll over.

6. Fair‑Use & Prohibited Conduct

Excessive, automated, or fraudulent usage (e.g., robocalls, spam, harassment) violates these Terms and may lead to throttling, suspension, or termination. We will attempt reasonable notice before suspension, except in emergencies or illegal use.

7. Intellectual Property

All software, documentation, trademarks, and content supplied by StaffHub.AI remain our property. You may not copy, modify, distribute, or reverse‑engineer any part of the Service without written consent.

8. Confidentiality

Both parties agree to keep the other’s non‑public information confidential and to use it only for fulfilling these Terms.

9. Privacy

Use of the Service is also governed by our Privacy Policy (see below), which explains what data we collect and how we process it.

10. Third‑Party Services & Integrations

The Service may integrate with third‑party providers (e.g., Twilio, Stripe, Google Calendar, OpenAI). We are not responsible for third‑party acts or omissions.

11. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of Liability

Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the six (6) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, punitive, or special damages.

13. Indemnification

You will indemnify and hold StaffHub.AI harmless from any claims, losses, or expenses arising from your misuse of the Service or breach of these Terms.

14. Suspension & Termination

You may cancel at any time via the dashboard. We may suspend or terminate for material breach with seven (7) days’ notice (immediately for unlawful use). Upon termination, access ceases and data may be deleted 30 days later.

15. Dispute Resolution & Governing Law

These Terms are governed by the laws of Queensland, Australia. Parties consent to the exclusive jurisdiction of the courts located in Cairns, QLD. Before litigation, parties will attempt good‑faith negotiation for 30 days.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us.

  • Severability: If any provision is unenforceable, the remainder remains in effect.

  • Assignment: You may not assign your rights without our prior written consent. We may assign in connection with a merger, acquisition, or sale of assets.
